1. General Provisions

These Terms and Conditions govern all business relationships, sales, and deliveries related to products presented under the NovaSpring brand. By placing an order or using this website, the Buyer agrees to these Terms and Conditions.

2. Role of the Parties

NovaSpring acts as the commercial coordinator and customer interface for product selection, specifications, communication and order coordination.

Manufacturing, invoicing, and shipment of goods are carried out by the manufacturing entity specified in the order confirmation and commercial invoice (the “Manufacturer”). The Manufacturer also receives payment and provides export/shipping documents.

For clarity, references to the “Seller” in these Terms shall be understood as the Manufacturer issuing the commercial invoice, unless otherwise stated in writing.

3. Scope of Application

These Terms apply to all quotations, orders, contracts, deliveries, and services, unless otherwise agreed in writing.

4. Orders and Contract Formation

All products are manufactured to order. A contract becomes binding only after written confirmation by the Seller (Manufacturer) or issuance of a proforma invoice.

5. Prices and Payments

Prices are quoted according to the agreed delivery terms and exclude taxes, duties, and customs fees, unless otherwise stated.

Payment terms are T/T (Telegraphic Transfer): 30% advance payment before production and 70% balance payment before shipment, as detailed on the Delivery and Payment page.

6. Delivery Terms

Delivery terms are based on Incoterms and may include EXW or FOB Qingdao, subject to order volume and agreement. Detailed delivery information is provided on the Delivery and Payment page.

7. Warranty and Claims

Warranty conditions are limited to conformity of the products with agreed specifications. Full warranty details and claim procedures are described on the Warranty page.

8. Limitation of Liability

The Seller (Manufacturer) shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profit, loss of business, or downtime. The Seller’s liability is limited to the value of the delivered goods.

9. Force Majeure

The Seller (Manufacturer) shall not be held responsible for failure or delay in performance caused by events beyond reasonable control, including natural disasters, war, strikes, pandemics, supply chain disruptions, or government actions.

10. Intellectual Property

All drawings, technical documentation, designs, trademarks, and content provided by NovaSpring remain its intellectual property and may not be used, reproduced, or disclosed without prior written consent.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes shall be resolved through negotiation; if unresolved, disputes shall be submitted to the competent court at the Seller’s (Manufacturer’s) location.

12. Final Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The Seller (Manufacturer) reserves the right to amend these Terms and Conditions at any time. The latest version published on the website shall apply.
